The targeted deadline for receipt of initial offers to purchase is 5:00pm EST on Wednesday, February 26, 2025.

Notice of the Call for Offers announcement with detailed offering instructions, will be provided to all potential buyers via email and will also be posted online at www.newmark-jcpenneyportfolio.com. We encourage all potential buyers with questions regarding submission of offers to contact any member of the Newmark team.

Current ownership at its sole discretion reserves the right, without giving reasons, to provide information to any prospective purchaser, to amend or terminate the process relating to any proposed transaction(s), to terminate discussions with any or all prospective purchasers, to reject any or all proposals or to negotiate with or to enter into an agreement for a proposed transaction(s).

In the event that current ownership decides to add or remove individual properties to or from the JCPenney Retail Portfolio, Newmark will provide potential buyers notice via email and through www.newmark-jcpenneyportfolio.com.

Virtual Deal Room Access

Upon execution of the Confidentiality Agreement, all approved parties will be provided with access to the Virtual Deal Room. The Virtual Deal Room contains detailed due diligence information on all assets in the portfolio. Prospective purchasers of the JCPenney Retail Portfolio are encouraged to conduct as much due diligence ahead of offer submission as possible.

Site Tours

While individual property tours are not currently being scheduled, regional brokers for each asset will be able to provide detailed asset and market level information and may also facilitate property tours.

Initial Call for Offers Due

As noted above, the targeted date for submitting initial offers is February 26, 2025 and a Call for Offers announcement with full instructions for submission will be distributed via email and found at www.newmark-jcpenneyportfolio.com

Best & Final Notification

At the discretion of current ownership, potential buyers may be asked to submit a Best and Final Offer and/or to complete a Buyer Interview.

Award Notification

Acceptance of offers will be subject to approval by Hilco JCP, LLC, Manager of Copper Property CTL Pass Through Trust. Successful buyers will be notified upon approval.
